Please read these Terms of Service ("Terms") carefully before using the True North investment platform. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. About True North

True North Holdings, LLC is a Delaware limited liability company operating an online investment platform that facilitates investment in real estate funds. True North is not a registered broker-dealer, investment adviser, or financial institution. We do not provide personalized investment advice.

2. Eligibility

To use True North, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts in your jurisdiction
  • Complete identity verification (document review) as required by applicable law
  • Be a resident of the United States or a jurisdiction from which investment is permitted under applicable securities laws
  • Not be subject to sanctions lists maintained by OFAC or equivalent authorities

3. Investment Risk Acknowledgment

By investing through True North, you acknowledge and accept:

  • All investments involve risk, including possible loss of all invested principal
  • Past performance of any fund or investment does not predict future results
  • IRR projections and distribution estimates are forward-looking and not guaranteed
  • Real estate investments are illiquid and may not be redeemed before the fund term ends
  • You have read and understood the Offering Memorandum and Risk Factors for any fund you invest in
  • True North does not guarantee returns, distributions, or return of capital

4. User Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access. True North will not be liable for losses resulting from unauthorized account access due to your failure to maintain credential security. Multi-factor authentication (MFA) is required for all investor accounts.

5. Investment Process and Commitments

When you commit to invest in a fund: (a) you authorize True North to process the investment amount from your linked bank account; (b) your funds are held in escrow until the fund closes; (c) if the fund does not reach its minimum raise target, your funds are returned in full; (d) after funds are deployed, your investment is subject to the mandatory holding period specified in the Offering Memorandum.

6. Fees

Platform fees range from 1.0–1.5% annually on invested capital. Fund management fees range from 1.0–2.0% annually. Performance carry, early redemption penalties, and other fees are specified per fund in each Offering Memorandum. All fees are clearly disclosed before investment commitment. True North reserves the right to modify fee structures with 30 days written notice.

7. Prohibited Activities

You agree not to: use the platform for money laundering or other illegal activities; provide false or misleading information during account creation or document review; attempt to circumvent platform security; scrape, copy, or redistribute platform content; invest on behalf of a third party without proper legal authorization; or violate any applicable laws or regulations.

8. Intellectual Property

The True North platform, brand, technology, and content are owned by True North Holdings, LLC and protected by US and international intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the platform for investment purposes only. No license is granted to reproduce, distribute, or create derivative works.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUE NORTH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM OR ANY INVESTMENT MADE THROUGH IT. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE PLATFORM FEES PAID BY YOU IN THE PRECEDING 12 MONTHS.

10. Dispute Resolution and Arbitration

Any disputes arising from these Terms or your use of the platform shall be resolved by binding arbitration under the rules of the American Arbitration Association in Delaware, except for injunctive relief which may be sought in any court of competent jurisdiction. You waive any right to participate in class action lawsuits or class-wide arbitration.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email and platform notification. Continued use after the effective date of changes constitutes acceptance. If you disagree with changes, your sole remedy is to close your account.
