Key terms you'll encounter in every offering memorandum.

IRR โ€” Internal Rate of Return
The annualized effective compounded return rate that makes the net present value of all cash flows equal to zero. Used to compare investment efficiency over time. A projected 14% IRR means the fund is expected to grow capital at that annualized rate over its term.
CoC โ€” Cash-on-Cash Return
The annual pre-tax cash income divided by the total cash invested. Unlike IRR, CoC measures only the cash distributions received, not equity appreciation. A 8% CoC on a $1,000 investment means $80 in distributions per year.
Equity Multiple
Total distributions plus returned capital divided by original investment. A 1.42x multiple means for every $1 invested, you receive $1.42 back over the fund's life. It doesn't account for time โ€” a 1.42x over 3 years is far better than over 10 years.
Preferred Return
A minimum return threshold that investors receive before the fund sponsor earns profit participation (carry). An 8% preferred return means investors receive the first 8% of returns; only profits above that threshold are shared with the sponsor.
Regulation CF
SEC exemption allowing companies to raise up to $5M per year from non-accredited investors via registered crowdfunding platforms. True North is registered under Reg CF, enabling $100 minimum investments from qualified individuals.
Regulation D
SEC exemption for private securities offerings, primarily to accredited investors (income >$200K/yr or net worth >$1M). Reg D funds have no cap on raise size but are limited to verified accredited investors only.
Waterfall Distribution
The structured order in which profits are distributed between investors and sponsors. Typically: return of capital โ†’ preferred return โ†’ catch-up โ†’ split profits. Understanding the waterfall tells you exactly how and when you get paid.
Lockup Period
The minimum holding period before an investor can attempt to redeem their position. Under Reg CF, a 12-month lockup is mandatory. Even after the lockup, early redemption is not guaranteed and may carry a penalty fee.
